101Next Terms and Conditions

1.1 These Terms and Conditions (“Terms”) govern access to and use of the Website, Platform and Services made available under the 101Next brand.

1.2 These Terms apply to visitors, registered users, customers, Members, participants and other persons who access or use a Service, whether the Service is free or paid, except to the extent a separate signed agreement expressly provides otherwise.

1.3 These Terms are intended to operate together with any applicable Offer, Order, Service-Specific Terms and policies expressly incorporated into the relevant transaction or Service.

1.4 Certain Services may require additional terms, including a Refund and Cancellation Policy, Community Rules, Affiliate Program Terms, event terms, licensing terms, purchase terms, privacy notices or another specific agreement. Those documents apply only to the extent relevant to the applicable Service.

1.5 If you do not agree to these Terms, you must not purchase, register for, access or use the relevant Service.

1.6 Nothing in these Terms is intended to exclude, restrict or modify a right or remedy that applicable law does not permit the parties to exclude, restrict or modify.

2.1 101Next is a digital entrepreneurship, AI-enabled learning and community platform operated under the 101Next brand by ClickBinar Solutions, a Malaysian sole proprietorship registered under Registration No. 201803271938 (PG0455019-W).

2.2 Unless an applicable Offer, Order, invoice or separately signed agreement expressly identifies a different supplier, Services offered directly by 101Next are supplied by ClickBinar Solutions, a Malaysian sole proprietorship registered under Registration No. 201803271938 (PG0455019-W), operating under the 101Next brand.

2.3 101Next currently provides or facilitates activities that may include AI and digital-skills education, digital entrepreneurship training, workshops, challenges, memberships, communities, digital resources, business-development programs, affiliate-related education and opportunities, directories, profile features, events, networking, digital-product and digital-service development, and introductions between digital talent and businesses.

2.4 Current 101Next pathways may include programs described as Digital Explorer, Digital Builder, Digital Agency and Digital Investor. The availability, content, entry requirements and commercial terms of any named program may change and are determined by the applicable Offer.

2.5 A description of a category of Service in these Terms does not mean that every such Service is available at all times or in every country.

3.1 You agree to be bound by these Terms when you do any of the following in circumstances where these Terms are presented or made available to you: create or use an Account; submit an Order; purchase or subscribe to a Service; register for a program, membership or event; click an “I agree”, “I accept”, “Order”, “Purchase”, “Register” or similar button or checkbox; or otherwise use a Service after receiving reasonable notice that these Terms apply.

3.2 Where an Offer requires payment, your submission of an Order is a request to purchase the relevant Service. Unless the Offer expressly states otherwise, the Order is accepted when 101Next confirms acceptance or provides access to the purchased Service, whichever occurs first.

3.3 101Next may decline an Order before acceptance where reasonably necessary because of a genuine pricing or technical error, suspected fraud, legal or regulatory restriction, lack of availability, failure of payment authorization or another legitimate reason.

3.4 If 101Next declines an Order after receiving money for a Service that will not be supplied, the affected amount will be handled in accordance with applicable law and the applicable payment or refund arrangements.

3.5 Electronic acceptance, electronic records and electronic communications may be used in connection with these Terms and transactions to the extent permitted by applicable law.

3.6 If you accept these Terms on behalf of a company, association, partnership or other organization, you represent that you have authority to bind that organization to the applicable agreement.

4.1 “101Next”, “we”, “us” and “our” mean the 101Next brand and, for contractual purposes, the entity identified under Section 2 as the supplier of the relevant Service, unless an applicable written agreement states otherwise.

4.2 “Account” means a registered user account, member account, learning account or other authenticated access profile used in connection with a Service.

4.3 “Affiliate” means a person approved to participate in an official 101Next affiliate or referral program under the applicable Affiliate Program Terms.

4.4 “Company Content” means content, materials and intellectual property owned by, licensed to or lawfully used by 101Next in connection with the Website, Platform or Services, including text, training materials, videos, recordings, slides, prompts, templates, frameworks, guides, graphics, designs, logos, software, systems, webpages and branding.

4.5 “Consumer” means a person who is entitled to consumer protections under applicable law in relation to a particular transaction. The legal meaning of Consumer is determined by the applicable law and is not expanded or restricted by this definition.

4.6 “Digital Content” means electronic content supplied through a Service, including videos, recordings, documents, prompts, templates, guides, downloads, course materials and other digital resources.

4.7 “Member” means a person granted access to a 101Next membership, member community, member directory or membership-related Service.

4.8 “Offer” means an authorized description of a Service made available through the Website, sales page, registration page, checkout page, invoice, proposal or another official 101Next communication.

4.9 “Order” means a request to purchase, subscribe to, register for or otherwise obtain a Service.

4.10 “Platform” means any website, member area, learning environment, directory, online community, portal or other digital environment operated by or for 101Next.

4.11 “Services” means the products, programs, memberships, events, training, Digital Content, communities, platform features and other services offered or facilitated under the 101Next brand from time to time.

4.12 “Service-Specific Terms” means additional terms expressly stated to apply to a particular Service, Offer, program, event, transaction, subscription or feature.

4.13 “Third-Party Service” means a website, platform, application, payment processor, AI tool, social-media service, hosting provider, communication service or other product or service controlled by a person other than 101Next.

4.14 “User Content” means information, text, images, photographs, videos, audio, profile information, comments, documents, files, links or other materials submitted, uploaded, posted or otherwise provided by you through or in connection with a Service.

4.15 “Website” means the official 101Next website at https://101next.com and any replacement or additional official 101Next web property expressly identified by 101Next.

4.16 “you” and “your” mean the person accessing or using a Service and, where applicable, the organization on whose behalf that person is acting.

5.1 You must be at least 18 years old and have the legal capacity required under applicable law to register for, purchase or use a 101Next Service.

5.2 The Services are not intended for persons under 18 years old. If you are under 18, you must not create an Account, register for, purchase or use a Service.

5.3 101Next may take reasonable steps to verify age or eligibility and may restrict, suspend or close an Account where it reasonably believes the age requirement has not been satisfied, subject to applicable law and the Privacy Policy.

5.4 You must not register, purchase or transact using another person’s identity, credentials or payment method without authorization.

5.5 If you act for an organization, you must provide accurate organizational information and have authority to enter into the relevant agreement on its behalf.

5.6 101Next may impose additional eligibility requirements for a particular program, membership, Affiliate Program, event or other Service where those requirements are stated in the applicable Offer or Service-Specific Terms.

6.1 Certain Services may require an Account or registration.

6.2 You must provide materially accurate, current and complete information when creating and maintaining an Account and must update information that materially changes.

6.3 You are responsible for maintaining the confidentiality and security of your credentials and for taking reasonable steps to prevent unauthorized access.

6.4 Unless an Offer expressly permits team, organizational or multi-user access, an Account is personal to the registered user and must not be sold, transferred, shared or made available to another person.

6.5 Where multi-user access is permitted, the account holder is responsible for ensuring that authorized users comply with the terms applicable to their access to the extent permitted by law.

6.6 You must promptly notify 101Next through an official support channel if you reasonably believe that your Account has been compromised or used without authorization.

6.7 101Next may require reasonable identity, ownership, payment or security verification before creating, restoring, transferring or changing access to an Account.

6.8 You must not create Accounts through automated means, create materially false Accounts, impersonate another person or use multiple Accounts to manipulate promotions, commissions, program eligibility, limits or platform functionality.

7.1 101Next is designed to support digital learning, AI-enabled skill development, digital entrepreneurship, creator and business capabilities, community participation and related commercial opportunities.

7.2 Depending on the applicable Offer, Services may include live or recorded training, workshops, courses, challenges, learning resources, prompts, templates, guides, community access, directories, profile pages, networking, business-development activities, affiliate or referral features, digital-product development, digital-service development, AI-tool education, events and related support.

7.3 The exact scope, price, duration, access period, delivery method, included materials, eligibility requirements and other commercial terms of a Service are determined by the applicable Offer, Order and Service-Specific Terms.

7.4 101Next may provide free and paid Services. Access to a free Service does not create an entitlement to future free access, upgrades, support, sponsorships, discounts or paid features unless expressly stated.

7.5 Participation in a 101Next program or community does not itself create an ownership interest, shareholder interest, partnership interest, employment relationship, franchise, agency or voting right in 101Next.

7.6 Program names, pathways, modules, trainers, learning resources, community features and delivery methods may evolve as technology, market conditions and educational needs change, subject to the protections in Sections 31 and 35.

7.7 Where 101Next facilitates access to external tools, platforms, sponsorships, discounts or third-party benefits, those items may be subject to separate eligibility criteria and Third-Party Service terms.

8.1 A particular Offer may contain additional or different terms concerning price, access period, deliverables, schedules, renewal, cancellation, refund eligibility, usage limits or other Service-specific matters.

8.2 Service-Specific Terms form part of the agreement for that Service when they are reasonably made available before or at the time of purchase or registration.

8.3 Where a separately signed written agreement expressly states that it overrides these Terms, the signed agreement controls to the extent of the stated conflict.

8.4 Where 101Next offers specialist services involving web hosting, domains, website design, server resources, technical backup, cPanel access or similar infrastructure, those Services may be subject to Service-Specific Terms and the applicable Order. These Terms do not revive or extend any expired, discontinued or superseded package.

8.5 A Service description, FAQ, promotional page or presentation may explain an Offer, but it does not override a separately signed agreement or mandatory law. If an inconsistency is material, the order of precedence in Section 53 applies.

9.1 Subject to these Terms, 101Next grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Website, Platform and relevant Services for their intended purpose during your authorized access period.

9.2 This right is a permission to use the relevant Service; it does not transfer ownership of the Platform, Company Content or underlying technology.

9.3 You are responsible for obtaining compatible devices, software, internet access and other equipment reasonably necessary to use an online Service unless the applicable Offer expressly states that they are included.

9.4 You must use reasonable security practices, including safeguarding passwords and keeping your devices and software appropriately protected.

9.5 101Next may introduce reasonable technical, security or usage measures to protect the Platform, users, intellectual property and service quality.

9.6 Access may be geographically or technically limited where required by law, third-party restrictions or the nature of the Service.

10.1 You must use the Website, Platform and Services lawfully, honestly and in accordance with these Terms and applicable Service-Specific Terms.

10.2 You are responsible for information, instructions and materials that you provide to 101Next and must take reasonable steps to ensure they are accurate and lawful.

10.3 You are responsible for obtaining any rights, permissions, licenses and consents required for materials you provide or activities you conduct through a Service.

10.4 You are responsible for independently evaluating whether a tool, business strategy, marketing method, platform, AI output or commercial opportunity is suitable for your circumstances.

10.5 You are responsible for your own tax, licensing, regulatory, professional and business obligations arising from activities that you independently conduct, subject to obligations that applicable law places on 101Next.

10.6 You must cooperate reasonably with legitimate security, verification, payment and support requests relating to your Account or use of a Service.

10.7 You must respect the privacy, intellectual property, confidential information and legal rights of 101Next, other users and third parties.

11.1 You must not use the Website, Platform or Services to engage in unlawful, fraudulent, deceptive, abusive or harmful conduct.

11.2 Without limiting Clause 11.1, you must not:

(a) impersonate another person or materially misrepresent your identity, authority or affiliation;

(b) obtain or attempt to obtain unauthorized access to an Account, system, database, server or restricted area;

(c) bypass or attempt to bypass access controls, payment controls, usage restrictions, security measures or technical protections;

(d) introduce malware, viruses, malicious scripts, credential-stealing tools or other harmful code;

(e) interfere with, overload, disrupt, probe or materially impair the operation, availability or security of a Service;

(f) scrape, crawl, harvest or systematically extract Platform data, member information or Company Content except with written authorization or where applicable law provides a right that cannot be restricted;

(g) use bots or automated methods to create Accounts, manipulate engagement, obtain benefits, generate false referrals or access a Service in a manner that materially exceeds ordinary human use without authorization;

(h) copy, redistribute, resell, sublicense or commercially exploit Company Content except as expressly permitted;

(i) remove or obscure copyright, trademark, confidentiality or proprietary notices;

(j) reverse engineer, decompile or attempt to derive source code from software except to the extent applicable law expressly permits despite this restriction;

(k) upload or distribute content that you know infringes intellectual property, privacy, confidentiality or other third-party rights;

(l) use another Member’s personal information for unauthorized bulk marketing, spam, harassment, scraping or data-broker activity;

(m) manipulate commissions, promotions, payments, completion records, certificates, badges, reviews, testimonials or program eligibility;

(n) submit a knowingly false or fraudulent payment dispute, chargeback, refund claim or complaint;

(o) use 101Next branding in a manner that falsely suggests that you are an employee, agent, official representative or authorized partner; or

(p) assist another person to do any of the foregoing.

11.3 Reasonable good-faith security research must not be conducted against the live Platform without prior written authorization from 101Next.

12.1 Certain Services may provide private communities, member groups, directories, profile pages, networking spaces, discussion areas, team activities or collaborative features.

12.2 Community participants must communicate respectfully and must not harass, threaten, intimidate, defame, discriminate against, stalk or deliberately harm another person.

12.3 Community content must not be unlawful, knowingly fraudulent, malicious, infringing or designed to compromise another person’s device, Account or data.

12.4 101Next may adopt separate Community Rules. Material breach of those rules may result in moderation, content removal, restriction, suspension or termination in accordance with Sections 39 and 40.

12.5 Where a Member voluntarily provides or approves information for a member directory or profile, the Member grants 101Next the limited rights reasonably necessary to host, reproduce, format and display that approved profile information for the relevant feature.

12.6 Profile information may include, where voluntarily supplied or approved, a Member’s name, photograph, biography, professional role, business information, social links, achievements or other directory information.

12.7 A Member remains responsible for the accuracy and lawfulness of profile information the Member supplies and for having the necessary rights to any photograph, logo, link or other material submitted.

12.8 Participation in a directory does not grant 101Next unrestricted permission to use a Member’s name, image or likeness in unrelated advertising. Promotional use outside the intended directory or program context should be based on appropriate notice, authorization or another lawful basis.

12.9 Users must not systematically scrape, export, harvest, reproduce or commercially exploit member-directory information without authorization.

12.10 Unless expressly stated otherwise, 101Next does not verify or guarantee every statement made in an independently supplied Member profile and does not guarantee a Member’s qualifications, financial position, products, services or reliability.

13.1 Services may include live or recorded training, workshops, challenges, meetings, networking activities, webinars, online sessions or physical events.

13.2 Dates, times, venues, trainers, speakers, presentation order, delivery platform and program content may occasionally need to change for operational, safety, availability or other legitimate reasons.

13.3 101Next will use reasonable efforts to communicate a material change affecting registered participants where appropriate.

13.4 A change of trainer, speaker, session order, non-essential topic or delivery detail does not automatically constitute cancellation of the entire Service where the core paid benefit remains substantially available.

13.5 If 101Next cancels or materially changes a paid event or program in a way that gives rise to a legal or contractual remedy, the remedy will be determined by applicable law, the relevant Offer and any applicable Refund and Cancellation Policy.

13.6 For online participation, you are responsible for suitable internet access, equipment and Third-Party Services unless expressly included in the Offer.

13.7 For physical events, you are ordinarily responsible for your own travel, accommodation, insurance and personal expenses unless expressly stated otherwise.

13.8 A session may be recorded, photographed or otherwise documented where participants receive appropriate notice and where required consent or another lawful basis exists. Any use of identifiable participant media will be handled consistently with applicable privacy law, the Privacy Policy and any specific release or event notice.

13.9 You must not secretly record, livestream, reproduce or redistribute a private, paid or members-only session where doing so infringes 101Next’s rights, another participant’s rights or applicable law.

13.10 A trainer, speaker, coach, facilitator or subject-matter expert involved in a Service may be 101Next personnel, a contractor, volunteer, Member, guest expert, external trainer or independent third-party trainer.

13.11 Where a training Service is sold, invoiced or payment is collected by 101Next, 101Next remains responsible for the contractual obligations that it has expressly undertaken to the customer even where delivery involves an external or third-party trainer.

13.12 If an external or third-party trainer becomes unavailable, 101Next may reasonably reschedule the affected session or appoint a suitably qualified substitute where the core paid benefit remains substantially equivalent. Where a promised material paid benefit cannot be supplied, the customer’s rights will be determined under Section 19, the applicable Offer, any applicable Refund and Cancellation Policy and mandatory law.

13.13 Where a user separately contracts with and pays an independent trainer or third party directly for a product, consultation, service or event that is not sold or collected by 101Next, that separate transaction is between the user and the third party unless 101Next expressly states otherwise in writing. The third party’s own terms and applicable law will ordinarily govern cancellation and refund rights for that separate transaction.

13.14 An external or third-party trainer has no authority to bind 101Next, alter these Terms, promise a refund, make a financial guarantee or enter into a contract on behalf of 101Next unless expressly authorized to do so.

14.1 101Next may supply Digital Content, courses, training programs, memberships, resource libraries, templates, prompts, guides, recordings and similar Services.

14.2 Access may be one-time, fixed-term, subscription-based, cohort-based, event-based or subject to another access model stated in the Offer.

14.3 Unless an applicable Offer expressly states a different and more specific meaning, “Lifetime Access” means access for so long as 101Next continues to operate and make the relevant Service, program, product or substantially equivalent content available and reasonably supportable. It does not mean the biological lifetime of the purchaser, perpetual hosting, or a guarantee that every feature, trainer, platform, integration, delivery format or component will remain unchanged forever. Any Offer using the term “Lifetime Access” must disclose this meaning clearly at or before purchase. Nothing in this clause permits 101Next to withdraw a paid benefit contrary to mandatory law or an express contractual commitment.

14.4 Where access depends on a Third-Party Service, continued availability may also depend on that provider. Section 31 governs any material change to a paid Service resulting from such dependency.

14.5 Completion of a course, challenge or program may depend on attendance, assignments, assessments, participation requirements or other criteria stated in the applicable Offer or program materials.

14.6 101Next may issue completion certificates, badges, recognition or achievement indicators for certain programs.

14.7 Unless expressly stated and independently verifiable, a 101Next certificate, badge or recognition must not be represented as a government licence, statutory accreditation, professional licence, regulated qualification or third-party accreditation.

14.8 You must not alter, falsify or misrepresent the meaning, level, recipient, completion criteria or status of a 101Next certificate or badge.

14.9 Membership access does not give a Member ownership of 101Next, control over management decisions or authority to bind 101Next unless a separate written legal arrangement expressly provides otherwise.

15.1 101Next may operate affiliate, referral, merchant, shopper, partner, promotional or commission-based features from time to time.

15.2 Participation in an official Affiliate Program is subject to approval and the current Affiliate Program Terms or Affiliate Agreement. These master Terms do not guarantee admission, a particular commission percentage, a minimum payment or any future commission opportunity.

15.3 Commission rates, attribution windows, qualifying transactions, exclusions, payment schedules, minimum thresholds, reversals, refund adjustments, verification requirements and termination consequences must be determined by the applicable Affiliate Program Terms.

15.4 An Affiliate must market honestly and lawfully and must not make false or misleading statements about 101Next, its Services, pricing, benefits, availability, earnings potential or expected results.

15.5 An Affiliate must make advertising, sponsorship, affiliate or commercial disclosures required by applicable law and by relevant third-party platforms.

15.6 An Affiliate must not engage in spam, impersonation, misleading domains or social accounts, trademark bidding or other restricted promotional methods where prohibited by the Affiliate Program Terms or applicable law.

15.7 Unless expressly authorized in writing, an Affiliate, referrer, Member, merchant, shopper, partner or community representative is not an employee, legal agent or representative of 101Next and has no authority to bind 101Next.

15.8 Participants are responsible for their own tax and regulatory obligations relating to commissions or business income, subject to any withholding or reporting obligations imposed by law on 101Next.

15.9 Where a referred transaction is refunded, reversed, fraudulent, cancelled or otherwise fails to qualify, any associated commission may be adjusted only in accordance with the applicable Affiliate Program Terms.

16.1 101Next may facilitate networking, introductions, directories, collaboration or discovery between Members, creators, digital service providers, businesses, SMEs, sponsors, partners or other third parties.

16.2 Unless an applicable Offer or written agreement expressly states that 101Next is the contracting seller, employer, agency, escrow provider or service provider for a particular transaction, 101Next is not a party to an independent contract made directly between users or between a user and a third party.

16.3 You are responsible for conducting appropriate due diligence before entering into an independent commercial, employment, freelance, investment, supplier, partnership or service relationship with another person introduced through 101Next.

16.4 The presence of a person, company, service, listing or opportunity in the 101Next ecosystem does not by itself constitute a guarantee, warranty, endorsement or verification of that person’s identity, solvency, qualifications, products, services, performance or legal compliance.

16.5 Nothing in these Terms prevents 101Next from acting as a contracting party, commission recipient, marketplace operator, service provider or intermediary where that role is expressly disclosed for a particular Offer.

17.1 The price, currency and payment structure for a paid Service will be stated in the applicable Offer, checkout page, invoice or signed agreement.

17.2 You agree to pay the charges that are clearly disclosed and accepted for your Order.

17.3 Unless stated otherwise, taxes, duties or statutory charges will be treated in accordance with applicable law. Where a price is required by law to include or disclose a tax or mandatory charge, 101Next will comply with that requirement.

17.4 Your bank, card issuer, e-wallet provider or other payment provider may charge currency-conversion, international-transaction or other fees that are controlled by that provider rather than 101Next.

17.5 Payment processing may be performed through one or more Third-Party Services. Your use of a payment provider may also be subject to that provider’s terms and privacy practices.

17.6 By submitting a payment method, you represent that you are authorized to use it and authorize the payment of the amount clearly disclosed for the Order.

17.7 101Next may withhold activation of a paid Service until the required payment has been successfully authorized or received.

17.8 If 101Next discovers a genuine and material pricing, currency, checkout or system error before an Order is accepted, 101Next may correct the error and ask you to confirm the corrected Order.

17.9 If a payment has been taken for an Order that cannot be supplied because of a genuine error, cancellation by 101Next or other circumstance giving rise to a refund, the payment will be handled in accordance with applicable law and any applicable Refund and Cancellation Policy.

17.10 101Next may change prices for future purchases or future renewal periods. A price change does not retroactively alter the price of an already accepted fixed-price Order unless the applicable agreement expressly and lawfully provides otherwise.

18.1 This Section applies only where an Offer expressly states that a Service renews automatically or is billed on a recurring basis.

18.2 Before purchase, a recurring Offer must identify the billing frequency, price or pricing basis, renewal arrangement and available cancellation method as required by applicable law.

18.3 By purchasing a recurring Service, you authorize the recurring charges disclosed in the Offer until the subscription is cancelled or otherwise ends in accordance with the applicable terms.

18.4 You are responsible for maintaining a valid authorized payment method where recurring billing has been agreed.

18.5 If an authorized recurring payment fails, 101Next or its payment provider may make reasonable further attempts to collect the properly due amount, subject to applicable law and payment-provider rules.

18.6 101Next may restrict or suspend a paid recurring Service for a legitimately overdue payment after taking reasonable steps appropriate to the circumstances.

18.7 A failure of automatic collection does not itself waive an amount validly due for a Service already supplied.

18.8 Renewal pricing may change for a future renewal period where permitted by law. Reasonable notice of a material renewal price change will be provided where required by law or the applicable Offer.

18.9 Nothing in this Section permits 101Next to convert a one-time purchase into a recurring subscription without your agreement.

18.10 No Offer automatically renews merely because payment details are stored or because a user previously purchased another Service. Automatic renewal applies only where the recurring nature of the Offer is clearly disclosed and agreed before purchase.

19.1 Cancellation and refund rights depend on applicable law, the applicable Offer, any Service-Specific Terms and any Refund and Cancellation Policy that 101Next publishes or expressly incorporates into the relevant transaction.

19.2 Where 101Next publishes or incorporates a Refund and Cancellation Policy for a Service, that policy may set Service-specific procedures and eligibility rules for digital courses, memberships, subscriptions, Digital Content, live sessions, events, rescheduling, applicable content-consumption thresholds and training delivered by external or third-party trainers. No such policy removes any mandatory statutory right.

19.3 Nothing in these Terms excludes a statutory refund, cancellation right, guarantee, remedy or cooling-off right that cannot lawfully be excluded.

19.4 A refund request should be submitted through the official support or refund channel identified by 101Next and should include information reasonably necessary to identify the relevant transaction.

19.5 If a refund is validly approved for a Service, 101Next may terminate or adjust access to the refunded Service and associated benefits to the extent appropriate to the refund.

19.6 Refund processing may involve a Third-Party Service. Bank, card-network or payment-provider processing times may be outside 101Next’s direct control.

19.7 You are encouraged, where reasonably possible, to contact 101Next about a billing dispute before initiating a chargeback so that genuine errors can be investigated. Nothing in this clause restricts a lawful chargeback right.

19.8 Knowingly false or fraudulent chargebacks, duplicate refund claims or fabricated payment disputes are prohibited and may result in suspension, termination or lawful recovery action.

19.9 Where a training Service is sold, invoiced or payment is collected by 101Next but delivery is performed wholly or partly by an external or third-party trainer, the trainer’s external status does not by itself remove any refund, cancellation or statutory rights that the customer has against 101Next under the applicable Offer, Refund and Cancellation Policy or mandatory law.

19.10 Where a customer independently contracts with and pays an external trainer or third party directly, and 101Next is not the contracting seller or payment recipient, cancellation and refund rights for that independent transaction are ordinarily governed by the third party’s terms and applicable law. 101Next is not responsible for refunding money it did not receive unless it expressly assumed that obligation in writing.

19.11 If a trainer cancels, becomes unavailable or cannot deliver an agreed session, 101Next may offer a reasonable rescheduling, replacement trainer or substantially equivalent delivery where this preserves the core paid benefit. If a material promised benefit cannot reasonably be supplied, the affected customer will retain any remedy available under the applicable Offer, Refund and Cancellation Policy and mandatory law.

19.12 Where an Offer expressly identifies the participation of a specific trainer as a material part of the purchased Service, a material substitution or cancellation will be assessed having regard to that express commitment rather than being treated automatically as an immaterial program change.

20.1 101Next may offer discounts, bonuses, promotional access, sponsorship-supported benefits, trials, awards, giveaways, limited offers or third-party benefits from time to time.

20.2 Eligibility, duration, quantity, redemption conditions and other material terms will be stated with the relevant promotion where applicable.

20.3 A promotional benefit has no cash value unless expressly stated otherwise and may not be transferred, duplicated or combined with another promotion unless permitted.

20.4 101Next may reject fraudulent, manipulated, duplicate or unauthorized use of a promotion.

20.5 Where a benefit, sponsored tool, credit, licence, discount or service is supplied by a third party, its availability may depend on the third party’s approval, terms, capacity and continued participation.

20.6 Unless 101Next expressly guarantees a specific third-party benefit in a paid Offer, participation in the 101Next community does not guarantee that a Member will receive sponsorship, software licences, funding, customer work, commercial opportunities or another external benefit.

21.1 Company Content and all intellectual property rights in it remain owned by 101Next, ClickBinar Solutions, the applicable rights holder or their licensors, as the case may be.

21.2 Company Content may include the 101Next name and branding, logos, website design, copy, graphics, photographs, video, recordings, presentations, course materials, prompts, templates, worksheets, frameworks, methodologies, guides, software, systems, source code, databases, directories and other proprietary materials.

21.3 Subject to these Terms and the applicable Offer, 101Next grants you a limited, personal, non-exclusive, non-transferable and non-sublicensable licence to access and use the Company Content supplied to you for the intended purpose of the Service during your authorized access period.

21.4 Purchasing a Service does not transfer ownership of the underlying Company Content or intellectual property.

21.5 Except where the applicable Offer expressly permits it, you must not reproduce, republish, upload, distribute, broadcast, sell, rent, sublicense, commercially exploit or create a competing product substantially from Company Content.

21.6 You must not sell or redistribute course recordings, slides, prompts, templates, manuals, training materials, internal documents or proprietary resources as standalone products, shared libraries, membership content or competing training materials without written authorization.

21.7 Where a template, prompt, framework, checklist, worksheet or other resource is expressly intended to be used in your own business or creative work, you may use it for that intended end use. That permission does not automatically include the right to resell or redistribute the underlying 101Next resource itself.

21.8 You must not remove or alter copyright, trademark, confidentiality, ownership or attribution notices attached to Company Content.

21.9 Except where permitted by law or expressly authorized in writing, you must not systematically copy or bulk extract Company Content to build, train, fine-tune, populate or operate a commercial AI model, dataset, knowledge base, competing course library or competing service.

21.10 Nothing in this Section restricts a right granted by mandatory law that cannot lawfully be restricted by contract.

22.1 You retain ownership of intellectual property rights that you lawfully hold in your User Content.

22.2 By providing User Content through a Service, you grant 101Next a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, format, transmit and display that User Content only to the extent reasonably necessary to provide, secure, administer and operate the relevant Service and the feature for which you submitted it.

22.3 Where you intentionally submit User Content for public publication, directory display, a community post, showcase or another public-facing feature, the licence in Clause 22.2 includes the technical rights reasonably necessary to make the content available in that intended context.

22.4 A broader promotional use of your identity, likeness or content will require an appropriate contractual right, consent or other lawful basis rather than being assumed merely from private submission of material.

22.5 You represent that you have the rights and permissions necessary to provide your User Content and to grant the limited licence described in this Section.

22.6 User Content must not knowingly infringe another person’s copyright, trademark, confidentiality, privacy, publicity, data-protection or other legal rights.

22.7 101Next may remove, restrict or disable access to User Content where reasonably necessary to address a legal complaint, intellectual-property claim, privacy issue, security risk, court or regulatory requirement, or material breach of these Terms.

22.8 Removal from active display does not necessarily require immediate deletion from backups, transaction records, security logs or legally required records where retention is lawful.

22.9 Unless a separate written agreement expressly assigns intellectual property to 101Next, your creation of an assignment, project, business concept, digital product or other work during a 101Next program does not by itself transfer ownership of that work to 101Next.

23.1 Certain Services may provide access to non-public information that is expressly marked confidential or that a reasonable person would understand from the circumstances to be confidential.

23.2 You must not disclose or misuse confidential 101Next information obtained through a restricted program, private session, partner process or non-public resource except as authorized or legally required.

23.3 You must likewise respect clearly confidential information lawfully disclosed by another participant in a context where a confidentiality obligation applies.

23.4 Information is not confidential merely because it is discussed in a 101Next environment if it was already lawfully public, was independently developed without use of confidential information, or was lawfully obtained from another source without confidentiality restriction.

23.5 Nothing in these Terms prevents disclosure required by applicable law, court order or competent regulatory authority, provided that any legally permitted notice or protective step is taken where appropriate.

23.6 Ordinary membership in a community is not a substitute for a detailed non-disclosure agreement. Users should not disclose highly sensitive trade secrets or regulated confidential information to other independent participants unless an appropriate confidentiality arrangement exists.

23.7 101Next does not guarantee that an independent user will comply with that user’s confidentiality obligations and is not automatically liable for another user’s unauthorized disclosure.

24.1 You may voluntarily provide ideas, suggestions or feedback about 101Next or the Services.

24.2 Unless the parties expressly agree otherwise, 101Next may use non-confidential feedback to improve or develop its Services without owing compensation for the feedback itself.

24.3 A private support message, complaint or ordinary community comment will not automatically be treated as permission to publish a testimonial.

24.4 Where you voluntarily provide a testimonial for publication or expressly authorize 101Next to publish one, 101Next may use the testimonial within the scope of that authorization.

24.5 101Next may make reasonable formatting, spelling, grammar or length edits to an authorized testimonial provided that the substantive meaning is not materially distorted.

24.6 Use of a person’s name, photograph, video, voice, likeness, professional title or other identifiable media for advertising or promotional purposes will be handled in accordance with applicable law, the Privacy Policy and any relevant consent, release or event notice.

25.1 Because 101Next provides AI-related education and may demonstrate or facilitate Third-Party Services involving artificial intelligence, users should understand that AI-generated outputs can be incomplete, inaccurate, outdated, biased, inappropriate or factually wrong.

25.2 You are responsible for exercising human judgment and for reviewing, validating and, where appropriate, independently verifying AI-generated output before relying on it, publishing it or using it commercially.

25.3 You remain responsible for ensuring that your use of AI tools and AI-generated content complies with applicable law, intellectual-property rights, privacy obligations, confidentiality duties, professional standards and applicable platform terms.

25.4 You should not submit confidential, sensitive, regulated or personal information to a Third-Party Service unless you have a lawful basis and understand the provider’s relevant terms and data practices.

25.5 101Next does not control the model behavior, algorithm, uptime, moderation, pricing, data practices, feature availability or future policies of an independent AI provider.

25.6 Demonstration or recommendation of an AI tool does not amount to a guarantee that the tool is suitable for every business, industry, jurisdiction, dataset or use case.

25.7 Where 101Next itself supplies an AI-enabled feature, any additional limitations, usage restrictions or data terms for that feature may be stated in Service-Specific Terms or the Privacy Policy.

26.1 The Website or Services may contain links to or depend on Third-Party Services, including payment processors, communication tools, video-conferencing platforms, AI tools, social networks, cloud services, website tools, software providers and external content.

26.2 Third-Party Services are controlled by their respective providers and may have their own terms, privacy policies, eligibility rules, fees and technical requirements.

35.1 Nothing in these Terms is intended to exclude, restrict or modify any statutory consumer guarantee, right, remedy, cooling-off right, disclosure requirement or liability that cannot lawfully be excluded, restricted or modified.

36.2 Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or another liability that applicable law does not permit to be excluded or limited.

36.3 To the extent permitted by law, 101Next will not be liable for indirect, incidental, special, exemplary or consequential loss arising from a Service, including loss of anticipated profits, revenue, business opportunities, expected savings, goodwill or data, where such loss is legally excludable and was not a direct loss that applicable law requires 101Next to compensate.

36.4 101Next is not responsible for loss caused solely by your unauthorized sharing of credentials, unlawful conduct, failure to follow reasonable security instructions, use of unverified AI output, or breach of a Third-Party Service’s terms, except to the extent 101Next independently caused or contributed to the loss in a legally relevant way.

36.5 101Next is not automatically liable for independent acts or omissions of another Member, Affiliate, business, sponsor, trainer acting outside authority, or other third party merely because the parties met or interacted through 101Next.

36.6 For users acquiring a Service wholly or mainly for business purposes, and subject to Clauses 36.1 and 36.2, 101Next’s aggregate liability arising out of or in connection with a particular paid Service will not exceed the fees actually paid by that user to 101Next for the affected Service during the twelve months immediately preceding the event giving rise to the claim.

36.7 If the affected business Service was purchased through a one-time payment more than twelve months before the event and no further fee for that Service was paid during the preceding twelve months, the reference amount for Clause 36.6 will be the one-time amount actually paid for that affected Service.

36.8 For Consumers, any financial cap or exclusion applies only where and to the extent applicable consumer law permits it. Nothing in Clauses 36.6 or 36.7 reduces a non-waivable consumer remedy.

36.9 Where applicable law does not permit a particular exclusion or limitation, that exclusion or limitation will apply only to the maximum lawful extent and the remainder of this Section will continue to operate.

37.1 To the extent permitted by law, you agree to indemnify and hold harmless 101Next from third-party claims, liabilities, losses and reasonable costs to the extent directly caused by:

(a) User Content you provided without the necessary rights or permissions;

(b) your fraudulent or unlawful use of a Service;

(c) your material infringement of another person’s intellectual-property, privacy or confidentiality rights;

(d) your materially false or misleading marketing of 101Next where you act as an Affiliate or approved promoter; or

(e) another material breach of these Terms that directly gives rise to a third-party claim against 101Next.

37.2 The indemnity does not require you to compensate 101Next for loss caused by 101Next’s own fraud, wilful misconduct or other conduct for which applicable law does not permit indemnification.

37.3 If you are a Consumer, this Section applies only to the extent an indemnity of this nature is enforceable under applicable consumer law.

37.4 101Next will take reasonable steps to mitigate recoverable losses and will not recover the same loss twice.

38.1 101Next may use reasonable security, identity, payment and fraud-prevention measures to protect users, transactions, intellectual property and the Platform.

38.2 Where an Order, Account, referral, payment, promotion or other activity reasonably appears fraudulent, unauthorized or materially suspicious, 101Next may request additional information or temporarily delay the affected transaction or benefit while it is reviewed.

38.3 101Next may preserve and disclose relevant records where reasonably necessary to investigate fraud, enforce legal rights, respond to a lawful request or comply with applicable law, subject to the Privacy Policy and data-protection obligations.

38.4 A security or fraud review does not authorize 101Next to collect or disclose personal data without a lawful basis.

38.5 Where a transaction is rejected before the relevant paid Service is supplied and 101Next has received funds that it is not entitled to retain, those funds will be handled in accordance with applicable law and the applicable payment arrangements.

39.1 101Next may temporarily restrict or suspend an Account, feature, community privilege or Service where reasonably necessary because of:

(a) a material security threat or suspected unauthorized access;

(b) suspected fraud or payment abuse;

(c) a material or repeated breach of these Terms or applicable Community Rules;

(d) unlawful activity or a credible legal complaint;

(e) serious harassment, threats or safety risk;

(f) intellectual-property infringement or misuse of proprietary content;

(g) a legitimately overdue payment for an ongoing paid Service;

(h) conduct that materially threatens the integrity, security or availability of the Platform; or

(i) a legal, regulatory or court requirement.

39.2 Where reasonably possible and appropriate, 101Next will provide notice of the reason for suspension and an opportunity to address a remediable issue.

39.3 Immediate restriction may occur without advance notice where urgent action is reasonably necessary for security, fraud prevention, safety, preservation of evidence, prevention of ongoing harm or legal compliance.

39.4 Suspension does not automatically determine refund eligibility. Refund rights continue to be governed by applicable law, the Offer and any applicable Refund and Cancellation Policy.

40.1 You may stop using a free Service at any time, subject to any obligations that are intended to survive.

40.2 A paid Service may be cancelled or terminated in accordance with the applicable Offer, Service-Specific Terms, Refund and Cancellation Policy and mandatory law.

40.3 101Next may terminate access for a material breach that remains unremedied after reasonable notice and a reasonable opportunity to cure where the breach is capable of remedy.

40.4 101Next may terminate immediately where the conduct is fraudulent, unlawful, intentionally harmful, seriously abusive, creates a material security or safety threat, materially infringes intellectual property, is incapable of remedy or makes continued provision unlawful.

40.5 101Next may terminate or discontinue a Service for legitimate business, technical, legal or regulatory reasons subject to Section 31 and any applicable rights relating to undelivered paid benefits.

40.6 When access ends, your licence to access restricted Company Content for that Service ends unless the applicable Offer expressly grants continuing rights.

40.7 Termination does not cancel payment obligations or legal rights validly accrued before termination.

40.8 Personal data and transaction records may continue to be retained after termination where permitted or required under the Privacy Policy or applicable law.

40.9 You should retrieve or retain your own lawfully exportable User Content and records before access ends where the relevant Service permits export and where doing so is reasonably necessary for your records.

41.1 To the extent permitted by law, 101Next will not be liable for delay or failure to perform an affected obligation where the delay or failure results from circumstances beyond its reasonable control and could not reasonably have been prevented or overcome.

41.2 Such circumstances may include natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil disorder, governmental action, utility failure, widespread telecommunications or internet failure, major cyber incidents affecting external infrastructure, labour disruption, venue closure or major Third-Party Service outage.

41.3 101Next will use reasonable efforts appropriate to the circumstances to mitigate material disruption and resume affected performance where practicable.

41.4 Force majeure does not remove a payment obligation relating to a Service already validly supplied before the event and does not remove a remedy that applicable law makes mandatory.

42.1 You must use the Services in compliance with laws applicable to you and your activities.

42.2 The accessibility of the Website from another country does not represent that every Service, strategy, commercial activity or tool discussed by 101Next is lawful, licensed or appropriate in every jurisdiction.

42.3 You are responsible for determining whether your own business, advertising, affiliate, eCommerce, AI, data, intellectual-property and professional activities require local licences, disclosures, approvals or professional advice.

42.4 101Next may restrict or decline a transaction or access where reasonably necessary to comply with applicable sanctions, trade restrictions, court orders or other legal requirements.

42.5 Nothing in this Section transfers to you an obligation that applicable law specifically places on 101Next as supplier, data controller, platform operator or other regulated person.

43.1 A genuine complaint about a Service may be submitted through an official 101Next support or complaints channel.

43.2 A complaint should include sufficient information to identify the complainant, relevant Account or Order, the issue, relevant dates and the resolution requested.

43.3 101Next may request relevant supporting information reasonably necessary to investigate the matter.

43.4 101Next will aim to review complaints fairly and respond within a reasonable period having regard to complexity and applicable legal requirements.

43.5 Privacy complaints should be sent to privacy@101next.com and will be handled in accordance with the Privacy Policy and applicable law.

43.6 Intellectual-property complaints should include enough information to identify the protected work or right, the allegedly infringing material and the complainant’s basis for asserting the right.

43.7 Nothing in this Section prevents a Consumer from using a tribunal, regulator, statutory complaint process or other mandatory remedy available under law.

44.1 If a dispute, controversy or claim arises from these Terms or a Service, the parties should first use reasonable good-faith efforts to resolve it through direct communication and negotiation.

44.2 Either party may provide a written summary of the dispute, relevant facts and requested resolution so that the matter can be reviewed efficiently.

44.3 The parties may mutually agree to mediation or another form of alternative dispute resolution where appropriate.

44.4 No dispute is subject to mandatory arbitration under these Terms unless the parties separately agree in writing to arbitration or applicable law requires otherwise.

44.5 Nothing in this Section prevents either party from seeking urgent interim or injunctive relief where reasonably necessary to protect intellectual property, confidential information, security, safety or another right requiring immediate protection.

44.6 Nothing in this Section prevents a Consumer from using a statutory tribunal, regulator or remedy that cannot lawfully be waived.

45.1 These Terms and contractual relationships governed by them are governed by the laws of Malaysia, subject to any mandatory law that applies regardless of contractual choice of law.

45.2 Subject to Clause 45.3, the parties submit to the jurisdiction of the courts of Malaysia in relation to disputes arising out of or in connection with these Terms or the relevant Service.

45.3 Nothing in this Section removes or restricts a Consumer’s right to use a tribunal, court, jurisdiction, regulator or mandatory consumer protection that applicable law does not permit the parties to waive.

46.1 101Next may send Account, operational, contractual or legal notices electronically using the email address, Account, member area or other contact method associated with your registration or Order, subject to applicable law.

46.2 You are responsible for maintaining current contact details so that important Service communications can reach you.

46.3 A communication is not treated as a formal legal notice merely because it was sent through a social-media comment, public post or informal community chat.

46.4 Formal legal notices to 101Next should be sent to legal@101Next.com and, where a physical notice is required or appropriate, to ClickBinar Solutions at Block G, Taman Bukit Jambul, 11900 Bayan Lepas, Pulau Pinang, Malaysia.

46.5 WhatsApp may be used for support and operational communications where offered. It will constitute a formal legal-notice channel only if 101Next expressly designates it for that purpose.

46.6 Any legal rule governing when an electronic notice is sent, received or effective continues to apply and is not displaced by this Section.

47.1 101Next may update these Terms to reflect changes in law, regulation, the Services, technology, security requirements or legitimate business operations.

47.2 The effective date and last-updated date shown at the beginning of these Terms identify the current published version.

47.3 Where a change materially affects existing contractual rights or obligations, 101Next will provide reasonable notice where required by law or reasonably appropriate in the circumstances.

47.4 A change required immediately for legal, regulatory or material security reasons may take effect sooner where permitted by law.

47.5 101Next will not rely on this Section to retroactively remove a right relating to an already purchased Service where doing so would breach mandatory law or an express fixed contractual commitment.

47.6 Continued use of an ongoing Service after a validly notified change becomes effective may constitute acceptance to the extent permitted by applicable law. Where the law requires express consent, 101Next will seek it.

48.1 You may not sell, assign or transfer your Account or your contractual rights or obligations under a Service without 101Next’s written consent unless applicable law provides otherwise.

48.2 101Next may assign or transfer its rights and obligations to a lawful successor, purchaser of the relevant business or assets, or related entity as part of a genuine corporate or business reorganization, subject to applicable law.

48.3 A transfer under Clause 48.2 must not remove a non-waivable Consumer right or reduce a fixed paid entitlement contrary to applicable law.

49.1 Except where a separate written agreement expressly provides otherwise, these Terms do not create a partnership, joint venture, franchise, employment relationship, fiduciary relationship or general agency relationship between you and 101Next.

49.2 A Member, Affiliate, trainer, speaker, volunteer, community leader, committee member, merchant, shopper, partner or participant does not have authority to bind 101Next merely because of a role title or participation in the 101Next ecosystem.

49.3 Where a person has actual authority under a separate written appointment or agreement, that authority is governed by the relevant appointment or agreement.

50.1 Except where these Terms expressly state otherwise or applicable law provides otherwise, a person who is not a party to the relevant agreement does not acquire a contractual right merely because that person is mentioned in these Terms.

50.2 This Section does not prevent 101Next from relying on or enforcing a provision intended to protect its officers, personnel, contractors, licensors or service providers where applicable law permits such protection.

51.1 If a provision of these Terms is held invalid, illegal or unenforceable, it will be interpreted, limited or modified to the minimum extent reasonably necessary to make it valid and enforceable where the law permits.

51.2 If the provision cannot lawfully be preserved, it will be severed and the remaining provisions will continue in effect to the extent permitted by law.

52.1 A failure or delay by either party to exercise a contractual right does not automatically waive that right.

52.2 A waiver relating to one breach or circumstance does not automatically waive a later breach or different circumstance.

52.3 A waiver must be clear and, where required by law or the applicable agreement, made in writing.

53.1 These Terms, together with the applicable Order, Offer, Service-Specific Terms and policies expressly incorporated into the relevant transaction, form the contractual terms governing that Service, subject to any separately signed agreement that expressly applies.

53.2 An individually negotiated and signed agreement is not overridden by general Website Terms unless that signed agreement expressly says so.

53.3 In the event of an inconsistency concerning a particular Service, the following order of precedence applies to the extent appropriate:

(a) mandatory applicable law;

(b) an individually negotiated and signed agreement that expressly applies to the issue;

(c) applicable Service-Specific Terms or an Offer-specific written term;

(d) these Terms;

(e) general promotional or informational material.

53.4 The Privacy Policy governs the processing of personal data and does not, merely by being a privacy document, create or replace commercial price and payment terms.

53.5 The Refund and Cancellation Policy governs refund and cancellation procedures to the extent it is applicable and consistent with mandatory law and any controlling Service-Specific Term.

53.6 Affiliate Program Terms govern affiliate eligibility, commissions and program-specific obligations for approved Affiliates.

53.7 No entire-agreement wording in these Terms excludes liability for fraud, fraudulent misrepresentation or another matter that cannot lawfully be excluded.

54.1 Provisions that by their nature are intended to continue after expiration or termination will survive, including provisions concerning accrued payment obligations, intellectual property, confidentiality, User Content licences to the extent needed for lawful retained copies or previously authorized publication, liability, indemnification, dispute resolution and interpretation.

54.2 Survival does not extend a provision beyond the period reasonably necessary for its stated purpose or beyond what applicable law permits.

55.1 Section headings are for convenience and do not alter the substantive meaning of a provision.

55.2 “Including”, “includes” and similar words are illustrative and do not limit the general words preceding them.

55.3 References to laws include amendments, replacements and subordinate legislation applicable from time to time where the context requires.

55.4 The singular includes the plural and vice versa where the context requires.

55.5 A reference to “writing” or “written” includes an electronic record where applicable law recognizes it as written communication.

55.6 Where a provision says “to the extent permitted by law”, the provision must be interpreted subject to mandatory legal rights and restrictions.

55.7 If an ambiguity exists, these Terms should be interpreted reasonably in their commercial context and consistently with mandatory law rather than automatically in the manner most favourable to the drafting party.

56.1 These Terms are issued in English. The English version is the authoritative version unless applicable law requires otherwise.

56.2 Any translation provided by 101Next is for convenience unless expressly stated otherwise. If a translated version conflicts with the English version, the English version prevails to the extent permitted by applicable law.
